Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CellHub WebRTC Dialer platform ("Service") operated by CellHub ("we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

CellHub WebRTC Dialer is a browser-based SIP dialer and auto-dialer platform that provides outbound calling capabilities including Manual Dialing, Agent mode, IVR campaigns, and IVR with Live Transfer. The Service connects to your existing VoIP/SIP infrastructure.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. The Service is intended for business use only.

5. Compliance with Telemarketing Laws

You are solely responsible for ensuring your calling campaigns comply with all applicable telemarketing and communications laws in your jurisdiction and the jurisdictions of your call recipients. This includes maintaining proper Do-Not-Call (DNC) lists, obtaining required consents, and providing required disclosures.

6. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access due to your failure to protect your credentials.

7. Payment and Billing

Access to the Service requires a paid subscription. All fees are due as specified in your plan. We reserve the right to suspend or terminate access for non-payment. All payments are non-refundable unless otherwise agreed in writing.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by maintenance, third-party infrastructure failures, DDoS attacks, or events beyond our reasonable control.

9. Intellectual Property

All software, code, designs, and content comprising the Service are the intellectual property of CellHub. You receive a limited, non-exclusive, non-transferable license to use the Service. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

10. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you consent to the practices described therein.

11. Limitation of Liability

To the maximum extent permitted by law, CellHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 30 days preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless CellHub and its affiliates from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. You may cancel your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

14. Changes to Terms

We may update these Terms at any time. We will notify you via email or platform notice. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration.
